License agreement
Last updated 20 October 2026
The licence on which iGsenior LTD provides access to the iG-Senior affiliate platform, including white-label rights, fees and data processing terms.
Draft for review. This document has not yet been settled by a qualified lawyer in iGsenior LTD’s jurisdiction. Every value written as [square brackets] still needs filling in, and the whole text should be reviewed before the site goes live. Remove this notice once it has been.
Parties and structure
This agreement is between iGsenior LTD, registered in [jurisdiction] under number [registration number] at [registered address] (“we”, “us”), and the company named in the order form (“you”, “Customer”).
It consists of this document, the order form recording your plan and fees, and the data processing terms at Section 7. Where they conflict, the order form prevails, then this agreement, then the Terms of Use.
What the licence allows
We grant you a non-exclusive, non-transferable, worldwide right to access and use iG-Senior for your own business during the term, for the plan and volumes recorded in your order form.
The licence extends to the administrators, managers, media buyers and advertisers you authorise, and to the affiliate partners you admit to your programme. You remain responsible for their compliance with this agreement.
iG-Senior is provided as a hosted service. No copy of the software is delivered to you, and nothing here transfers ownership of it.
What the licence does not allow
You must not:
- resell, rent or sublicense the platform other than through the white-label features provided for that purpose
- operate the platform as a service for businesses outside your group, unless your order form says otherwise
- copy, decompile or reverse engineer the platform, except to the extent the law permits despite this restriction
- use the platform to build a competing product, or benchmark it for publication without our written consent
- exceed the brands, tracking domains, conversion volumes or seats recorded in your plan without upgrading
- remove or obscure notices we are legally required to display
White-label rights
Your plan determines how far you can brand the partner panel. Where included, you may set your own programme name, logo, favicon, brand colour, support email, welcome text and custom domains, and on the plans that include it you may remove the “Powered by iG-Senior” mark.
Within those features, affiliates see your brand rather than ours. That is a presentation right only: it grants no rights in our software, and you must not represent that you built or own the platform.
You keep all rights in your own trademarks and creatives, and grant us only the licence needed to display them inside the service for you.
Fees, volumes and metered usage
Fees, included conversion volumes, traffic allowances and overage rates are recorded in your order form. Fees exclude VAT and other applicable taxes.
- Billing periods are monthly, six-monthly or annual; longer periods carry the discount shown at purchase.
- Conversions above your allowance are billed at your plan’s per-conversion rate.
- Metered items are drawn from your platform wallet, including the per-install fee for hosted PWA apps and the cost of domain registrations and renewals. Services that depend on the wallet pause when its balance is exhausted and resume once it is funded.
- Extra brands are available as an add-on at the published rate.
Invoices are payable within [payment terms] days. We may suspend the service for non-payment after written notice. Fee changes take effect at renewal with at least [notice period] days’ notice.
Setup, migration and support
Setup and migration from your existing platform are included. We will configure the programme with you and map across partners, offers, historical conversions and balances from the export you provide.
Support is provided by email on every plan, with priority response on Pro and above. Enterprise plans may include a dedicated support manager, a dedicated account manager, an agreed service level and custom development, as recorded in the order form.
We do not offer a free trial. The pre-sales demonstration and the guided setup take its place.
Data ownership and processing
You own all data you submit and all data your tracking generates. We claim no ownership and will not use it to train models or build products, beyond aggregated and anonymised statistics that identify neither you nor any individual.
For that data you are the controller and we are the processor. We will process it only on your documented instructions, keep it confidential, apply the security measures described in the Privacy Notice, engage sub-processors only under equivalent written terms, assist you with data subject requests and with any breach notification, and delete or return the data on termination.
A current list of sub-processors is in the Privacy Notice. We will give you [sub-processor notice period] days’ notice before adding a new one, and you may object on reasonable data protection grounds.
You are responsible for having a lawful basis for the data you put into the platform, and for the notices and consents your own users require.
Availability and changes
We will provide the service with reasonable skill and care and aim to keep it continuously available. A binding uptime commitment applies only where an Enterprise service level is recorded in your order form.
We may change the platform as it develops. Where a change materially reduces functionality you rely on, we will give you reasonable notice and, if the change is materially detrimental, you may terminate the affected plan without penalty.
Compliance and acceptable use
You are responsible for holding the licences your activity requires in each market you target, and for complying with the advertising rules that apply to it.
The acceptable use rules in the Terms of Use apply to this agreement. In particular, the traffic-quality, cloaking and whitepage controls are provided to manage traffic quality and are not to be used to mislead a regulator, payment provider or advertising platform.
We may suspend features or the account where we are required to by law, by a regulator or by a payment provider.
Warranties and liability
Each party warrants it has the authority to enter this agreement. We warrant that we will provide the service with reasonable skill and care, and that we have the right to license it to you.
Beyond those warranties, and so far as the law allows, the platform is provided as it stands. We do not warrant that it will meet a particular commercial objective, that traffic-quality scoring will catch every instance of fraud, or that reporting will reconcile exactly with third-party systems.
Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited. Subject to that, neither party is liable for loss of profit, revenue, goodwill or data or for indirect loss, and each party’s total liability in any twelve-month period is capped at the fees paid or payable for that period, or at the different cap recorded in the order form.
Confidentiality
Each party will keep the other’s confidential information in confidence, use it only for this agreement, and disclose it only to people who need it and are under equivalent obligations.
This does not apply to information that is public through no breach, was already known, is independently developed, or must be disclosed by law — in which case the disclosing party will give notice where it is permitted to.
Term, termination and exit
The agreement starts on the date in the order form and renews for successive billing periods unless either party gives notice at least [renewal notice period] days before the end of the current period.
Either party may terminate for material breach that is not remedied within [cure period] days of written notice, or immediately if the other becomes insolvent.
On termination your access ends and we will make a final export of your data available for [export window], after which we will delete it. Fees already paid are not refundable except where this agreement or the law says otherwise. Provisions intended to survive do so.
General
Neither party may assign this agreement without the other’s written consent, except to a group company or on a sale of the business.
Neither party is liable for delay caused by events beyond its reasonable control, provided it tells the other and works to resolve it.
We may name you as a customer and use your logo only with your written permission, which you may withdraw.
This agreement is governed by the laws of [governing law], and the courts of [jurisdiction for disputes] have exclusive jurisdiction. The parties will attempt to resolve any dispute in good faith within 30 days of written notice before starting proceedings.
Notices go to the email addresses in the order form, and to [legal contact email] for us.
